– Of concern is Item 7. The agreement allows either party to opt out of the agreement and pay costs incurred to the other. What about the paving contractor? It does not address issues if the termination of either conflicts with the paving companies contract agreement. Each group, City and County, should have sub-articles within the master agreement with the paving contractor as to any liability. For example, the City or County could decide the work is substandard, didn’t meet its deadlines or other disagreement. Another matter could be if ligation is needed to resolve an issue with the contractor…..who pays and how much? The wording seems overly simplified. Surely there is more detail in this agreement.
